INOXGFL Group, a prominent participant in India’s energy transition arena, revealed that the National Company Law Tribunal (NCLT), Chandigarh Bench, has sanctioned the scheme of arrangement between Inox Wind Energy Ltd. (IWEL) and Inox Wind Ltd. (IWL) as per its directive dated June 10, 2025. With this endorsement, IWEL will merge with IWL, signifying a crucial move towards consolidating the Group’s wind power endeavors.
The amalgamation is poised to bolster the fiscal standing of IWL by decreasing its debts by roughly Rs 2,050 crores, whilst unveiling operational synergies through economies of scale, enhanced resource allocation, and improved regulatory adherence. This consolidation streamlines the corporate and ownership frameworks, with INOXGFL promoters acquiring direct stakes in Inox Wind. Shareholders of IWEL are set to obtain 632 equity shares of IWL for every 10 equity shares they possess, anticipated to be credited within 1 to 1.5 months, pending regulatory consent. This initiative is expected to elevate overall stakeholder worth by promoting financial and operational efficiencies.
